Contract lifecycle management (CLM) is the end-to-end handling of a contract from the moment someone needs one to the day it is renewed or closed, with every step recorded. Done well it cuts legal workload, prevents missed obligations and stops contracts renewing or expiring by surprise.

## The stages

1. **Request.** The business raises a need; CLM captures the counterparty, value, type and risk level.
2. **Drafting.** The contract is built from approved templates and a clause library, so most agreements need little legal review.
3. **Negotiation.** Redlines are exchanged and tracked in one place; deviations from standard terms are flagged.
4. **Approval.** Rule-based routing by value, risk and contract type, with an audit trail.
5. **Execution.** Electronic signature, then the signed version stored in a central repository with metadata.
6. **Obligation management.** Milestones, service levels, price reviews, compliance duties and notice periods tracked with owners and alerts. This is where most value is won or lost.
7. **Performance and compliance.** Supplier performance checked against the terms; purchase orders and invoices matched to contract prices.
8. **Renewal or close-out.** Alerts ahead of notice dates, renegotiation from a position of knowledge, or orderly termination.

## The role of software

CLM software provides the repository, templates, workflow, alerts and search. Newer tools use AI to extract clauses and dates from legacy contracts and to flag unusual terms. For procurement, the key integration is with purchasing, so every order is checked against the agreed contract.
