“Applicable Data Protection Laws”refers to Information Technology Act, 2000; The Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 ((“SPDI Rules”) to the extent applicable), The Digital Personal Data Protection Act 2023, India read with the applicable rules/regulations framed thereunder as amended from time to time.
“Company” refers to Procol Tech Private Limited situated at D-644, 1st floor, Saraswati Vihar, Pitampura, New Delhi -110034. The terms “we,” “us,” and “our” also refer to the Company.
“Person” means any natural person, company, corporation, partnership, limited liability partnership, association, trust, governmental authority, body corporate, or any other juridical entity recognized under applicable law.
“Platform” means an online interface in the form of a software-as-a-service application, including (i) a website-based application and/or (ii) digital applications, in the field of e-procurement and automated digital bidding and/or (iii) website.
“Service/s” refers to the procurement management software solutions provided by the Company through the Platform, enabling enterprises to automate and streamline their procurement processes.
“Website” refers to the Company’s website, which can be accessed at https://www.procol.ai/.
“You”, “Your” refers to you, as a user of our Platform or our Service. All capitalized terms used herein but not defined above and are defined under the Applicable Data Protection Laws shall have the meanings respectively ascribed to them under such Applicable Data Protection Laws.
1. PROCOL PRIVACY POLICY IN REGARDS WITH APPLICABLE DATA PROTECTION LAWS
Please note that this Privacy Policy applies to visitors, customers, and users of our services. If You are an employee, job applicant, or contractor/interns of Procol, Your personal data is governed by the Procol Employee Privacy Policy, which applies separately.
Company is committed to maintaining robust privacy protections for its users. This privacy policy (“Privacy Policy”) is designed to help You understand how we collect, use, share and safeguard the Information (defined below) You provide to us and to assist you in making informed decisions when using our Service/s in regard with the objectives and rules of Applicable Data Protection Laws.
Subject to the adherence of the requirements mentioned in the Applicable Data Protection Laws, by accessing or using our Platform or our Service, You acknowledge that You have read and understood our Privacy Policy and consent to collection, processing, storage, transfer, use and disclosure of Your Personal Information (defined below), including SPDI Rules and Third-party Information (defined below) in the manner set out herein. By selecting the “CONSENT” option while submitting Your information, including consent related to the Cookies Policy, You expressly authorize Procol to collect, process, store, share, and delete the data provided by You. Providing such consent is mandatory to access and use the products and services offered by the Company. If You do not agree with the terms of this Privacy Policy, please refrain from using our Platform.
This Privacy Policy is binding on all current and former visitors, users and others who access our Platform and/or avail our Service/s. By accessing or using our Platform or by providing us with Your Information, You undertake that You have the capacity to enter into a legally binding contract vide this Privacy Policy, which constitutes a legally binding document between You and the Company under the applicable law, in particular, the Indian Contract Act, 1872 and consumer protection laws of the jurisdiction from which You access or use our Platform or Services. By accepting this Privacy Policy on behalf of another Person, You represent and warrant that You have full authority to bind such Person to this Privacy Policy. The Company collects and processes Your usage data, personal data and third-party data judiciously, only for the limited purpose prescribed under this Privacy Policy; to such extent as maybe deemed necessary by the Company and within the scope of the applicable legal regulations. This Privacy Policy ensures that any Personal Information or Third-Party Information handled by the Company is managed in a way that is ethical, compliant and adheres to best industry practices.
This Privacy Policy is an electronic record in the form of an electronic contract formed under the applicable law. This Privacy Policy does not require any physical, electronic or digital signature.
This Privacy Policy describes the types of Information collected by the Company, the purposes for which such Information is collected, the manner in which the Company processes, uses, stores, shares, and protects such Information, and the choices and rights available to You in relation to such Information. This Privacy Policy further sets out the security practices and procedures adopted by the Company to safeguard such Information and the manner in which You may contact the Company regarding its privacy practices or for the exercise of Your rights under applicable law.
In order to access or avail the Service/s on our Platform, You may be required to disclose certain Third-party Information. The term “Third-party Information”, for the purpose of this Privacy Policy, shall mean and include any information collected from content that belongs solely to the relevant third party, including Personal Information of such third party, vis-à-vis Service/s provided on our Platform, with no direct connection to the third party whose data we collect whilst performing the Service/s. We, whilst providing our Service/s, shall not be responsible for Your authority to access or to use such Third-party Information. You hereby explicitly agree that you have obtained explicit written authorization and consent, as may be applicable, by way of affixing the signature, digital or physical, from all such subjects/third parties (whose information You provide to us) in the format required by the applicable laws in force, from time to time and store the same in Your custody basis such laws. You further agree that You shall not use such Third-party Information without obtaining such authorization and consent or as otherwise allowed by law. You hereby represent and warrant that the Company shall not be held responsible, liable or accountable in any manner or to any extent whatsoever, for Your failure to perform obligations under this Privacy Policy including but not limited to obtaining requisite consents from relevant third parties for use / access of Personal Information relating to such third parties. The Privacy Policy and in-product privacy notifications thoroughly disclose the manner in which Procol application accesses, uses, stores, or shares user data. The use of user data shall be limited to the practices explicitly disclosed in the privacy policy.
2. INFORMATION WE COLLECT
We collect Non-Personal Information, Personal Information, Business Information and Usage Information (each defined hereinafter).
“Non-Personal Information” includes information that cannot be used to personally identify an individual, such as anonymous usage data, information regarding Your use of Company Service/s, general demographic information we may collect, referring / exit pages and URLs, platform types, preferences You submit and preferences that are generated based on the data You submit and number of clicks.
“Personal Information” includes (a) any data pertaining to an individual who is identifiable by or in relation to such data. This includes Your: (i) email address, (ii) name, (iii) login name, (iv) password created, (v) address, (vi) date of birth, (vii) profile picture, any detail provided to the Company in furtherance to availing the Service/s, (viii) reviews, order details and histories, preferred or special merchants, specific vendor requests, contacts of individuals referred by You, transaction-related information, and any additional data pertaining to interactions on Company’s platform and contact information which You may submit to us through the registration process at the Platform; (b) other personally identifiable information procured through Your usage of the Platform or Service/s; (c) If You sign in to the Company’s platform through third-party sign-in services such as Google Plus or Gmail or any other social networking or similar site (collectively, “SNS”), an option of which may be provided to You by the Company at its sole discretion, You will be allowing us to pass through and receive from the SNS Your log-in information and other user data; (d) Any other information deemed as Personal Information under the Applicable Data Protection Laws. The Company limits the collection of Personal Information to the extent necessary for completion of the intended purpose.
“Business Information” means any information that may be used to identify a business entity, including but not limited to the name and address of the entity, date of incorporation, e-mail address of the entity, contact information of the registered office, company identification number (CIN), financial information including bank account details of the business, tax details of the business, PAN details of the business, names of the directors and such other information.
“Usage Information” includes without limitation all data and information collected automatically through the Platform (or through the third party analytics service providers), by use and access of the Platform in the nature of system administrative data, statistical and demographical data, and operational information and data generated by or characterizing use of the Platform including without limitation Non- Personal Information, cookies, Platform traffic, time spent on the Platform, number of visits to the Platform and other similar information and behavior indicating the mode and manner of use of the Platform.
Personal Information, Business Information, Non-Personal Information, Usage Information and Third-Party Information shall collectively be referred to as “Information”. You hereby acknowledge and agree that all Information is provided by You to the Company voluntarily.
Procol may use artificial intelligence (“AI”), machine learning (“ML”), large language models (“LLMs”), OCR, and automation technologies to enhance and deliver its Services, including document processing, workflow automation, analytics, recommendations, and user support features. Any customer or personal data processed through such systems is handled in accordance with applicable data protection laws and appropriate security safeguards. Procol does not use customer data submitted through the Services to train publicly available or shared AI models without explicit authorization. Where third-party AI service providers are engaged, Procol ensures appropriate contractual and security measures are implemented to protect such data. Users are advised to independently review AI-generated outputs before relying on them for business or operational decisions.
We may receive information about You from third parties, such as other users, partners (including ad partners, analytics providers, search information providers), or our affiliated companies or if You use any of the other websites/apps we operate or the other Services we provide. Users of our ad services and other third-parties may share information with us such as the cookie ID, device ID, or demographic or interest data, and information about content viewed or actions taken on a third-party website, online services or apps.
a. Information collected to activate the Service/s
You may be required to submit Your Personal Information other than Your email address such as name, contact details and company details. To use the Service/s thereafter, You need to submit further Your email address and create profile on Procol portal by creating unique username and password. The Company does not store or process Your passwords. However, in an effort to improve the quality of the Service, we track Non-Personal Information or Usage Information provided to us by Your browser or by our software application and third-party analytics tool when You view or use the Service/s which includes the website you came from, the type of browser you use, the device from which you connected to the Service/s, the time and date of access, and other information that does not personally identify You. We track this Non-Personal Information or Usage Information using cookies, or small text files which include an anonymous unique identifier. Cookies are sent to a user’s browser from our servers and are stored on the user’s computer hard drive. Sending a cookie to a user’s browser enables us to collect Non-Personal Information or Usage Information about that user and keep a record of the user’s preferences when utilizing our services, both on an individual and aggregate basis. Cookies, by themselves, do not tell Company Your e-mail address or other personally identifiable information unless You choose to provide this information to Company by, for example, registering on the Platform and/or by availing the Service/s provided by Company. Cookies are designed to hold a marginal amount of data specific to a particular user and website and can be accessed either by the web server or the user device. However, once You choose to furnish the Platform with personally identifiable information, this information may be linked to the data stored in the cookie. Company may also use cookies to offer You products, programs, or services. Cookies may be placed on the Platform by third-parties as well, the use of which Company does not control.
The Company may use both persistent and session cookies; persistent cookies remain on Your computer after You close Your session and until You delete them, while session cookies expire when You close Your browser. By sharing with us or accessing the Site and/or the Service/s provided by the Company, You hereby explicitly authorise the Company and give Your consent to the Company to store, use and access cookies for the purposes outlined in this Privacy Policy. Most browsers allow You to control cookies through their settings, which may be adapted to reflect Your consent to the use of cookies, and they may also enable You to review and erase Cookies.
We use cookies to analyse how people interact with our Service/s. And that analysis can help us build better products. For example, it may help us discover that it’s taking people too long to complete a certain task or that they have trouble finishing steps at all. We can then redesign that feature and improve the product for everyone. Information collected by us from a particular browser or device may be used with another computer or device that is linked to the browser or device on which such Information was collected.
b. Information You provide to us by registering for an account
In addition to the Information provided automatically by Your browser when You visit the Platform, to become a subscriber to the Service/s You will need to create a personal profile. You can create a profile by registering with the Service/s and by entering Your email address and creating a username and a password. By registering, You are explicitly authorizing us to collect, process, store and use Your email address in accordance with this Privacy Policy. You may use the Platform without providing the Company any Information about yourself. However, You may not be able to access certain services of the Platform, in case You choose to do so.
c. Children’s Privacy
The Platform and the Service are not directed to anyone under the age of 18. The Platform does not knowingly collect or solicit information from anyone under the age of 18 or allow anyone under the age of 18 to sign up for the Service. In an event where we learn that we have gathered personal information from anyone under the age of 18 without the consent of a parent or guardian, we will delete that information as soon as possible. d. Other information
We also gather and use the Third-party Information that You submit to us voluntarily in order to avail our Service on the Platform.
3. HOW WE USE AND SHARE INFORMATION
The Company maintains Your Information in electronic form on its devices and on the equipment of Company’s employees. The Information is made accessible to employees, agents, officers, legal advisors, auditors or partners and third parties only on a “need-to-know” basis.
The Information that You share with the Company shall be entitled to privacy and shall be kept strictly confidential. The Information submitted by You shall be used for limited purpose to:
a. operate, manage, and improve the Company’s platform, enhance the said platform security, and perform internal functions such as troubleshooting, testing, data analysis, research, and statistical or survey-related activities;
b. customize the platform for You and maintain, develop, and improve our products and Service/s, including enabling deliveries, providing additional services, and personalizing Your user account features;
c. facilitate Your access to and use of the Company’s platform;
d. display information related to You on the Company’s platform and better understand user behaviour, preferences, and interactions with our Services in order to improve content, functionality, and user experience, process transactions, provide customer support, respond to Your requests, and offer relevant promotions or services;
e. provide the Services You request or purchase, and share information regarding similar services that may be of interest to You. If you are a registered user, we may communicate such information through electronic means including email, SMS, or telephone;
f. issue invoices, statements, and process payments; g. address and resolve any legitimate claims raised by You;
g. prepare, analyse, and review reports and data relating to our user base and patterns of Service usage, and conduct research related to the Services; and
h. send marketing and promotional communications, assess the effectiveness of advertisements, and provide advertising that is relevant to Your interests.
Personal information
Except as otherwise stated in this Privacy Policy, we do not sell, trade, rent or otherwise share for marketing purposes Your Personal Information with third parties without Your consent, except in the following circumstances:
(i) Company may engage third party vendors and/or contractors to perform certain support services, with whom the Company has entered into legal agreement to ensure the protection and prevention of unauthorized access to personal data.
(ii) In order to process Your transactions, Company may direct You to a payment gateway service provider of its own choice, which may have access to the Personal Information provided by You while making such payment.
(iii)If You register for one of our webinars / marketing events, we may share Your personal data with the co-presenter(s) of the webinar as stated in the registration form of the webinar.
When You download an e-book, checklist or other content from either our Platform or another social media platform, the download is part of a series of information, and it is in our legitimate interest to provide You with additional emails and marketing materials pertaining to the downloaded materials so that You have the most accurate and up to date information. If You choose not to continue to receive such information, we will make it very easy for You to opt out of these emails. In general, the Personal Information You provide to us is used to help us communicate with You. For instance, we use Personal Information to contact users in response to questions, for promotional offers, to solicit feedback from users, to provide technical support and to inform users about significant changes.
A current list of sub-processors engaged by Procol for service delivery is maintained and made available upon request at legal@procol.in. We ensure that such sub-processors are bound by contractual obligations to implement adequate data protection and security measures consistent with this Privacy Policy and applicable data protection laws.
We may share the collected Personal Information with outside parties if we have a good-faith belief that access, use, preservation or disclosure of the Personal Information is reasonably necessary to meet any applicable legal process or enforceable governmental request, to enforce applicable terms of use, including investigation of potential violations, address fraud, security or technical concerns or to protect against harm to the rights, property, or safety of our users or the public as required or permitted by applicable laws.
Non-Personal Information & Usage Information
In general, we use the collected Non-Personal Information and Usage Information to help us improve the Service/s and customize the user experience. We also aggregate Non-Personal Information and Usage Information in order to track trends and analyse user patterns on the Platform. The Company may use Your Non-Personal Information and Usage Information for internal business purposes, such as data analysis, research, developing new products, enhancing and improving existing products and services and in identifying usage trends. This Privacy Policy does not limit in any way our use or disclosure of Non-Personal Information and Usage Information and we reserve the right to use and disclose such Non- Personal Information and Usage Information to our partners, advertisers and other third parties at our discretion.
We use and share the Third-party Information You provide to us solely for the purpose of providing Service to You on the Platform. To clarify, such Third-party Information is used by us on the relevant website of such a third party to collect information which we believe is relevant and useful to You, for using the Service on the Platform.
We may use Your Information to monitor Your use of our Service and may review and analyse the Information provided by You to provide You with customized service. In the event we undergo a business transaction such as a merger, acquisition by another company, or sale of all or a portion of our assets, Your Personal Information may be among the assets transferred. You acknowledge and consent that such transfers may occur and are permitted by this Privacy Policy, and that any acquirer of our assets may continue to process Your Personal Information as set forth in this Privacy Policy. 4. HOW WE PROTECT INFORMATION
All of the Company’s products offered on our Platform are built with strong security features that continuously protect Your Information and any other Information that You voluntarily share with us. We implement security measures designed to protect Your Information and any other information that You voluntarily share with us from unauthorized access. Your account is protected by Your account password and we urge You to take steps to keep Your Information safe by not disclosing Your password and by logging out of Your account after each use. Access to Your online account on the Platform is via Your username and password, which helps to secure Your account information. You are solely responsible for maintaining the security and confidentiality of Your account, including username and password. If You suspect any unauthorized use of Your account, You must immediately notify the Company by sending an email to legal@procol.in. You shall be liable to indemnify the Company for any loss suffered by the Company due to such unauthorized use of Your account. For any loss or theft of Information, due to unauthorized access to Your device through which You use the Platform or other reasons solely attributable to You, Company shall not be held liable or responsible under any circumstance whatsoever. Further, Company shall not be responsible for any breach of security or for any actions of any third parties or events that are beyond Company’s reasonable control including but not limited to acts of government, computer hacking, unauthorized access to computer data and storage device, computer crashes, breach of security and encryption, poor quality of Internet service or telephone service of the user, etc. While we take reasonable technical and organizational measures to protect Your personal data, we cannot guarantee absolute security of information transmitted over the internet. To the fullest extent permitted by law, Company disclaims liability for unauthorized access, use, alteration, or destruction of Your Personal Information, except where such event is caused by our gross negligence or willful misconduct.
At Procol, we maintain commercially reasonable technical, organizational, and administrative safeguards designed to protect personal data against unauthorized access, disclosure, alteration, loss, or misuse. Our security program includes measures such as encryption, access controls, network security protections, logging and monitoring, periodic security reviews, employee confidentiality obligations, and vendor due diligence processes. We also work towards maintaining industry-recognized security standards and certifications, including SOC 2 Type II and ISO/IEC 27001, where applicable. While no system can guarantee absolute security, we continuously evaluate and enhance our security practices to align with evolving industry standards, applicable laws, and the nature of the services we provide.
In addition to the safeguards described above, Procol maintains operational security and governance practices designed to support enterprise customer requirements. These may include role-based access controls, audit logging, employee background verification and confidentiality obligations, incident response and escalation procedures, secure software development and change management practices, periodic risk assessments, business continuity and disaster recovery measures, and vendor/security reviews. Where applicable, Procol may also support customer-specific security assessments, contractual security commitments, and compliance documentation requests as part of its enterprise engagement process.
The company is committed to ensuring the security of information through rigorous measures.This includes maintaining SOC 2 Type 2 and ISO/IEC 27001 certifications, ensuring full compliance with the General Data Protection Regulation (GDPR), and other relevant audit certifications. We adhere to the highest standards of information security by implementing robust measures designed to safeguard personal data from unauthorized access, disclosure, alteration, or destruction. Our commitment to stringent security practices aims to provide a secure environment for the protection of Your personal information.
However, these measures do not guarantee that Your Information and any other information that You voluntarily share with us will not be accessed, disclosed, altered or destroyed by breach of such firewalls and secure server software. In case of a data breach which is likely to result in a high risk, and depending on the circumstances, we will inform You about remedial actions to prevent any further damage. We always inform the relevant data controller, supervisory authority or authorities without undue delay.
By using our Service, You acknowledge that You understand and agree to assume these risks. Company shall not be responsible in any manner whatsoever for any violation or misuse of Your personal information by unauthorized persons’ consequent to misuse of the internet environment or things beyond control of the Company.
5. CROSS-BORDER DATA TRANSFERS
Information that Procol collects may be stored and processed in and transferred between any of the countries in which Procol operates to enable the use of the Information in accordance with this Privacy Policy. Procol shall abide by all the data protection and compliance requirements of various jurisdictions.

6. THIRD PARTY SERVICE PROVIDERS
Company may engage third party vendors and/or contractors to perform certain support services for the Company, including, without limitation, software maintenance services, advertising and marketing services, web hosting services and such other related services which are required by the Company to provide its services efficiently. These third parties may have limited access to the Information. If they do, this limited access is provided so that they may perform these tasks for the Company and they are not authorized by the Company to otherwise use or disclose Information, except to the extent required by law. Company does not make any representations concerning the privacy practices or policies or terms of use of such websites, nor does it control or guarantee the accuracy, integrity, or quality of the information, data, text, software, music, sound, photographs, graphics, videos, messages or other materials available on such websites. The inclusion or exclusion does not imply any endorsement by the Company of the website, the website’s provider, or the information on such website.
The Platform may contain links and interactive functionality interacting with the websites of third parties. Company is not responsible for and has no liability for the functionality, actions, inactions, privacy settings, privacy policies, terms, or content of any such website. Before enabling any sharing functions to communicate with any such website or otherwise visiting any such website, Company strongly recommends that You review and understand the terms and conditions, privacy policies, settings, and information-sharing functions of each such third-party website.
7. YOUR RIGHTS REGARDING THE USE OF YOUR PERSONAL INFORMATION
a. Right to be informed
You have the right to be informed about the collection and use of Your personal data. If we receive such a request from You, we will provide You with information like – our purpose for processing Your personal data, retention periods for that personal data, and with whom it will be shared with.
b. Right to rectification
You have the right to have inaccurate personal data be rectified, or completed if it is incomplete. Such requests can either be made verbally or in writing. However, this right is not absolute and we can refuse a request in certain circumstances.
c. Right to erasure
You have the right to request erasure of Your personal data in accordance with Applicable Data Protection Applicable Laws. Upon receiving such a request, we will erase Your personal data unless retention is necessary for compliance with any legal obligation or for any lawful purpose permitted under applicable law. In certain circumstances, we may temporarily restrict processing of Your personal data while evaluating Your request.
d. Right to access
If we receive a data subject request from an individual whose data we have by using our website/other means or whose data we process on behalf of another party, we will inform them of such a request and work with both the third party (as the case maybe) and the individual to complete the request. After we have confirmed Your relationship with us and have the proper authorizations, we will provide You with information and process the request. We ensure to respond to Your requests without undue delay and within one month of the receipt of request. We may require additional information from You to allow us to confirm Your identity or find Your personal data. If You believe that any Personal Information we are holding pertaining to You is incorrect, incomplete or shouldn’t be processed, please contact us as soon as possible, at the contact information below and we will promptly take the appropriate action.
You have the right to withdraw your consent for any marketing or sales material. To do this, please send an email to legal@procol.in. Once you withdraw Your consent to share the Personal Information collected by the Company, the Company shall have the option not to fulfil the purposes for which the said Personal Information was sought and Company may restrict You from using the Services on the Platform and/or the Platform itself. Unless mentioned in the existing law or any law in force, we undertake to erase Your Personal Information promptly upon Your withdrawal of consent or when it is reasonably determined that the specified purpose is no longer applicable, whichever occurs earlier.
8. TERM OF STORAGE OF PERSONAL INFORMATION
We will not store Your personal data longer than necessary for the purpose for which we have processed Your personal data including our legal requirements to retain data after completion of the Service/s. The tenure for which we retain Your personal data depends on the laws governing such data or till the time customer requests for deletion of data.
You agree that You will not submit any false information or any illegal or damaging content to the Site. The Company reserves the right to terminate access to or the ability to interact with the Site in response to any concerns the Company may have about false, illegal, or damaging content, or for any other reason, in its sole discretion.
9. LIMITATION OF LIABILITY
Company shall not be liable to You for any loss of profit, production, anticipated savings, goodwill or business opportunities or any type of direct or indirect, incidental, economic, compensatory, punitive, exemplary or consequential losses arising out of performance or nonperformance of its obligations under this Privacy Policy.
At any point of time, Company & its affiliates liability for any loss arising from any transaction carried out by You on the Platform, whether on a subscription model or otherwise, shall not exceed the fees paid by You to the Company (a) in the preceding 1 (One) month, or (b) for that particular transaction, whichever is lower, provided that in case of any breach of Applicable Data Protection Law solely attributable to Procol and such liability cannot be limited or restricted pursuant to such Applicable Data Protection Law, the liability of Procol in such an event shall be limited to the maximum penalty levied by competent authority/courts in accordance with the Applicable Data Protection Law.
Notwithstanding anything contained in this Privacy Policy or elsewhere, Company shall not be held responsible for any loss, damage or misuse of Your Personal Information, if such loss, damage or misuse is attributable to a Force Majeure Event. The term “Force Majeure Event” shall mean any event that is beyond the reasonable control of the Company and shall include, without limitation, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes, lockouts or industrial action of any kind, riots, insurrection, war, acts of government, computer hacking, civil disturbances, unauthorised access to computer data and storage device, computer crashes, breach of security and encryption, pandemic or national/state lockdown due to any reason and any other similar events not within the control of the Company and which Company is not able to overcome.
10. CHANGES TO OUR PRIVACY POLICY
The Company reserves the right to change this Privacy Policy at any time. We will notify You of significant changes to our Privacy Policy by sending a notice to the primary email address specified in Your account or by placing a prominent notice on our Platform. Significant changes shall be effective from the date as specified by the Company. Non-material changes or clarifications will take effect immediately. We urge You to periodically check the Platform and this page for updates. The Company will not reduce Your rights under this Privacy Policy without Your explicit consent. 12. Dispute Resolution
Any dispute or difference arising between the parties hereto as to the effect, validity or interpretation of this Terms or as to their rights, duties or liabilities thereunder, failing amicable resolution through mutual negotiations, shall be referred to and settled by arbitration conducted by sole arbitrator, mutually decided by the parties in accordance with the Arbitration and Conciliation Act, 1996, and the subsequent amendments thereto. If the parties cannot agree on an arbitrator, each party shall appoint an arbitrator and the arbitral panel shall consist of 3 (Three) arbitrators, one to be appointed by each party and the third to be nominated by the two appointed arbitrators. The third arbitrator shall serve as chairman of the panel. The decision of the arbitrator(s) shall be final and binding upon the parties. The seat and venue of arbitration proceedings shall be Delhi. In the event of a dispute arising from the use of the Service/s by a user located in a jurisdiction other than India, such dispute shall be governed by and resolved in accordance with the laws applicable in the jurisdiction of such user.
